Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, payment, point-of-sale (POS), billing, reporting, and related commerce solutions (collectively, the "Services") provided by SendPOS ("SendPOS", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

The Services are intended for businesses and for business use. By using the Services, you represent that you are at least the age of majority in your jurisdiction, that you have the authority to enter into these Terms on behalf of the business you represent, and that the information you provide is accurate and complete.

2. Description of Services

SendPOS provides payment acceptance, POS terminal solutions, payment processing, billing and subscription tools, reporting, and related commerce infrastructure. Certain Services depend on third parties such as acquiring banks, card networks, and other payment partners. We may add, modify, or discontinue features from time to time.

3. Accounts and Security

You may be required to register for an account to use certain Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us promptly of any unauthorised use or suspected security breach.

4. Identity Verification, KYC and AML

As a payment services provider, we are subject to Know Your Customer (KYC), Anti-Money Laundering (AML), and related regulatory obligations. You agree to provide accurate identity and business information and supporting documentation upon request, and you authorise us to verify this information and to screen against applicable sanctions and watchlists. We may suspend or terminate access where we are unable to verify your information or where required by law.

5. Merchant and Compliance Obligations

If you use the Services to accept payments, you agree to comply with all applicable laws, card network rules (such as those of Visa and Mastercard), and the Payment Card Industry Data Security Standard (PCI DSS). You are responsible for the goods and services you sell, for honouring your refund and dispute obligations, and for ensuring your use of the Services complies with applicable consumer protection and tax laws.

6. Acceptable Use

You agree not to use the Services to:

• Engage in or facilitate any unlawful, fraudulent, or deceptive activity.
• Process transactions related to money laundering, terrorist financing, or sanctioned parties.
• Sell or facilitate prohibited or restricted goods or services, including illegal drugs, weapons, counterfeit goods, or items prohibited by card network rules.
• Submit transactions that are not bona fide sales of your own goods or services, or that misrepresent the nature of a transaction.
• Interfere with, disrupt, or attempt to gain unauthorised access to the Services, our systems, or other users' data.
• Infringe the intellectual property or other rights of any third party.

7. Fees and Payment

Fees for the Services, where applicable, will be set out in a separate agreement, order form, or pricing schedule. Unless otherwise stated, fees are exclusive of applicable taxes, levies, and charges, which are your responsibility. We may authorise deductions of fees, chargebacks, refunds, and adjustments from settlement amounts as set out in your applicable agreement.

8. Third-Party Services

The Services may integrate with or rely on third-party products and services. Your use of those third-party services may be subject to separate terms, and we are not responsible for the acts, omissions, products, or services of third parties.

9. Intellectual Property

The Services, including all software, content, trademarks, and logos, are owned by SendPOS or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Services in accordance with these Terms. You may not copy, modify, reverse engineer, resell, or create derivative works from the Services except as permitted by law.

10. Confidentiality

Each party may receive non-public information of the other party in connection with the Services. The receiving party agrees to use such information only as necessary to perform under these Terms and to protect it using reasonable measures, except where disclosure is required by law.

11. Disclaimers

Except as expressly stated, the Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

12. Limitation of Liability

To the maximum extent permitted by law, SendPOS and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. To the extent permitted by law, our total aggregate liability arising out of or related to the Services will not exceed the amount of fees you paid to us for the Services during the three (3) months immediately preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless SendPOS and its affiliates, officers, directors, and employees from and against any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, your breach of these Terms, or your violation of any law or the rights of any third party.

14. Suspension and Termination

We may suspend or terminate your access to the Services, in whole or in part, if you breach these Terms, if required by law or by a card network or financial partner, or to protect the security and integrity of the Services. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.

15. Changes to the Services and Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of the Federation of Saint Kitts and Nevis, without regard to its conflict-of-law principles. The courts of Saint Kitts and Nevis will have jurisdiction over any disputes arising out of or relating to these Terms or the Services, except where applicable law provides otherwise.
